How to set up a company in Hong Kong
Setting up a company in Hong Kong is a fast, straightforward, and cost-effective process.
To begin, you’ll need to select a business name, and we’ll verify its availability for registration.
Next, you provide us with the name and contact details of the Shareholder(s) and Director(s).
We will then prepare the necessary forms, which we’ll email to you for your signature. Once you post back the originals along with the required payment, the company will be incorporated within seven working days, ready to commence operations.
Upon incorporation, you will receive a comprehensive “Company kit box“, containing a full set of printed “Articles of Association,” Share Certificates with their registry, and all corporate registers for internal and official use. If desired, we can safely store these documents at our registered office on your behalf.
According to Company Ordinance, every Limited company must have a registered address in Hong Kong. We offer this service, which includes a “mail service” for handling your mail according to your preferences.
Additionally, Limited Companies must appoint a “Company Secretary” responsible for statutory duties and communications with authorities. We can also provide this service.
Furthermore, Hong Kong companies are required to maintain a “Significant Controller Register,” which lists individuals or entities holding more than 25% of shares and/or voting rights. This register must mention a “Designated Representative,” who must be a Hong Kong resident. We offer this service as part of a bundle with Company Secretary and Registered Address services.
The fiscal year in Hong Kong runs from April 1 to March 31 of the following year, but you can choose a different date, such as December 31, for accounting purposes, as long as the first fiscal year doesn’t exceed 18 months.
Annually, the company must submit an “Annual Return” and pay HKD 105 filing fees to the government. The form filing service is included in our Company Secretary service, but the government fee is not.
Furthermore, every year, the company should maintain proper books, close its financial accounts, and file a Tax return.
Auditing is mandatory for companies with operations. However, if there are no operations, auditing can be avoided by submitting a Tax return with all amounts set to zero.
Company Bank account in Hong Kong
If you choose to apply for a local bank account with counter service in Hong Kong, it will require the presence of all Shareholder(s) and Director(s) in the city.
We can assist those who need help in scheduling bank appointments. Bank fees may vary depending on the client’s group structure.
However, Hong Kong companies also have the option to utilize online bank accounts, foreign bank accounts, and even digital accounts, as long as they maintain transaction records and have their accounts audited.
We have established a partnership with a Foreign Exchange platform that recently acquired a Banking license. Through them, you can avoid the need to physically come to Hong Kong. We will handle the online application process for you and provide all the necessary information.
By using this service, you will be able to hold funds in 11 currencies and make domestic and international payments.
To proceed with the application, we require the following documentation from you:
- Personal details of all Shareholder(s) and Director(s)
- Copy of their passport(s)
- Proof of address, a document that clearly indicates the residential address of the individuals. The original document will be needed at a later stage for bank account purposes, and it should not be issued more than three months prior to the intended use.
- If a company is a Shareholder or Director of the company to be incorporated, we will need the Certificate of Incorporation and/or Certificate of Incumbency, Business Registration Certificate, Company registry extract, or similar documents that clearly state the names of the Ultimate Beneficiary owner(s) and Director(s).
- A brief description of the intended company activity, expected turnover, and the reasons for choosing Hong Kong as the place of business.
